Termination

  1. Termination without cause

    1. ⏳ Either party may terminate this Agreement without cause with ninety (90) days written notice to the other party, and the Agreement will terminate ninety (90) days after such notice is sent.

  2. Termination with cause

    1. ⏳Either party may terminate this Agreement immediately for cause if we have not received payment of any overdue fees within sixty (60) days from the invoice date provided also:

      1. no payment has been received thirty (30) days after notice to you of a delayed payment,

      2. in the case of debit or credit card payments, within sixty (60) days from the date of purchase,

      3. the other is in material breach of the Agreement and the breach is not curable, or

      4. the other is in material breach of the Agreement and the breach is curable and the party fails to cure the breach within thirty (30) days after receipt of written notice.

  3. Termination related to Suspension

    1. In the case of Suspension of a Service in accordance with this Agreement, either party may terminate this Agreement immediately upon written notice.

  4. Termination related to technology and intellectual property rights

    1. In the case of your breach of our or our licensors’ technology and intellectual property rights, we may terminate this Agreement immediately upon written notice.

  5. Termination related to Warranties

    1. In the case of your breach of your warranties, we may terminate this Agreement immediately upon written notice.

  6. Termination related to Force Majeure

    1. In the case of Force Majeure in accordance with this Agreement, either party may terminate this Agreement immediately upon written notice.

  7. Effects of Termination

    1. Any terms that by their nature extend beyond the Agreement termination remain in effect until fulfilled, and apply to successors and assignees.

    2. Termination of this Terms of Service does not terminate Transaction Documents.

    3. Provisions of this Terms of Service as they relate to such Transaction Documents remain in effect until fulfilled or otherwise terminated in accordance with their terms.
